1. Agreement to Terms
By installing, accessing, or using the GiftWrapStack application ("the App"), you ("Merchant", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the App. These Terms constitute a legal agreement between you and GiftWrapStack ("we", "us", "our").
2. Description of Service
GiftWrapStack is a Shopify application that enables merchants to offer gift wrapping options, personalised gift messages, and gift receipts to their customers. The App integrates with your Shopify store and operates within the Shopify platform.
3. Eligibility
You must have an active Shopify store and be authorised to enter into agreements on behalf of that store. By using the App, you represent that you meet these requirements.
4. Account and Access
Access to the App is granted through your Shopify account via Shopify's authentication mechanisms. You are responsible for maintaining the security of your Shopify account and for all activity that occurs under your account. You must notify us immediately if you become aware of any unauthorised use.
5. Pricing and Billing
The App offers multiple pricing tiers, including a free plan. Paid subscriptions are billed through Shopify's billing system. By subscribing to a paid plan, you authorise Shopify to charge the applicable fees to your Shopify account.
- Subscription fees are billed monthly in advance.
- We reserve the right to change pricing with 30 days' notice. Existing subscriptions will be honoured until the end of their current billing cycle.
- Refunds are handled in accordance with Shopify's policies for app charges.
- Downgrading your plan may result in the loss of access to certain features or data associated with higher-tier plans.
6. Acceptable Use
You agree not to:
- Use the App for any unlawful purpose or in violation of any applicable laws or regulations.
- Attempt to reverse-engineer, decompile, or disassemble the App.
- Interfere with or disrupt the App's infrastructure or other merchants' use of the service.
- Use the App to transmit harmful, offensive, or misleading content through gift messages or other features.
- Resell, sublicence, or redistribute access to the App without our written consent.
7. Intellectual Property
The App, including all code, design, branding, documentation, and related materials, is owned by GiftWrapStack and is protected by intellectual property laws. These Terms do not grant you any ownership rights. You retain ownership of your store's content, including product listings, images, and customer data managed through Shopify.
8. Data and Privacy
Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect data. By using the App, you consent to the data practices described in the Privacy Policy.
9. Availability and Support
We strive to maintain high availability but do not guarantee uninterrupted access to the App. We may perform maintenance, updates, or modifications that temporarily affect availability. We will endeavour to provide reasonable notice for planned downtime. Support is available via email at support@giftwrapstack.app.
10. Limitation of Liability
To the maximum extent permitted by law, GiftWrapStack shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the App. Our total liability for any claim arising from these Terms or your use of the App shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
11. Disclaimer of Warranties
The App is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be error-free, secure, or available at all times.
12. Indemnification
You agree to indemnify and hold harmless GiftWrapStack, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the App, your violation of these Terms, or your violation of any third-party rights.
13. Termination
You may terminate your use of the App at any time by uninstalling it from your Shopify store. We may suspend or terminate your access if you breach these Terms or if required by law. Upon termination, your right to use the App ceases immediately. Provisions that by their nature should survive termination (including limitations of liability, indemnification, and intellectual property) will remain in effect.
14. Changes to These Terms
We may update these Terms from time to time. We will notify merchants of material changes via email or an in-app notification. Continued use of the App after changes take effect constitutes acceptance of the updated Terms. The "Last updated" date at the top of this page indicates when the Terms were last revised.
15. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the App shall be resolved through good-faith negotiation first, and if necessary, through binding arbitration or the courts of the applicable jurisdiction.
